Terms and Conditions

Definitions:

• ‘us’, ‘we’, ‘seller’ means Independent Paint and Coatings Supplies Limited. (IPCS Ltd) whose registered office and registration number is shown throughout this website.
• ‘you’, ‘buyer’ refers to the Buyer, user or viewer of our website.
• ‘terms’ means the Terms and Conditions as set out on this web page.
• ‘Goods’ means the products directly sold by IPCS Ltd.

Sale and Purchase of Goods

Independent Paint and Coatings Supplies hereby agrees to sell, and You hereby agree to purchase, goods of the description and quantity as per the Buyer’s confirmation and incorporated herein by this reference (Goods) on the terms and conditions set forth in this Agreement.

Use of Information

IPCS Ltd use information from our website to improve usability. No information gathered from this website will be shared to any third party.

Purchase Price

Buyer agrees to pay the Purchase Price of the Goods as quoted.

Invoices must be paid in full and can be paid by bank transfer or through a SumUp^® link sent by us when the order is confirmed.

The full amount of the price and all delivery costs for an order is due in advance of delivery or collection.

Payment Terms

The total amount of the Purchase Price shall be payable in full by the buyer, according to the payment due date stated in the invoice. Any portion of the Purchase Price unpaid past thirty (30) days shall be considered overdue. All amounts past due are subject to a late charge of the lesser of one and one-half percent (1.5%) per month (being eighteen percent (18%) per annum) or the highest lawful rate. In addition, we shall have the right to pursue any remedies available at law or as provided herein and shall be entitled to reimbursement from you for the Seller’s costs of collection, including attorney fees, legal fees and costs and disbursements.

Colour reproduction

We make every effort to accurately display colours using digital means, such as on this website or in a PDF chart. However we cannot guarantee that the colour displayed on your monitor will accurately reflect the colour of the product on delivery. Limitations of the technology available and the calibration of your own monitor and computer will affect the accuracy of colour.

Making a complaint

Any complaints by the consumer will be dealt with in a fair, effective and confidential manner and in line with the complaint procedure of IPCS Ltd. You must submit your complaint in writing to our offices which we will acknowledge within 14 working days of receipt of your complaint. We agree to provide a likely timescale to resolve the dispute and will keep you informed about the progress of your complaint.

Order cancellation

Once an official order has been accepted cancellation of the contract will be at our discretion. A cancellation will not be accepted in any circumstances where a product has been specially made to fulfil the order.

Cancellation by us

We reserve the right to cancel the contract between us if:

• We have insufficient stock to deliver the goods you have ordered
• We do not deliver to your area; or
• One or more of the goods you have ordered was listed at an incorrect price due to a typographical error on our website, or an error in the pricing information received by us from our suppliers.
• We are not fully satisfied that your intention to use the product is for safe and/or legal purposes. Our decision in this regard is entirely at our discretion and such decision is final.
• You either order solvents on their own or order solvents disproportionately to any paint ordered.
• If we cancel your contract, we will notify you by email and will re-credit to your account any sum deducted by us from your credit card as soon as possible but in any event within 30 days of your order. We will not be obliged to offer any additional compensation for disappointment suffered.

Delivery

We offer a delivery service for our products, facilitated by a third-party delivery company.

The delivery fee for up to three tins of 5-litre paint is £11.50 +VAT. While we aim to provide a next-day delivery service, we cannot guarantee the exact delivery date due to unforeseen circumstances such as adverse weather conditions or logistical issues.

The delivery charges are non-refundable, except in cases where we fail to deliver the products within a reasonable timeframe or if the products arrive damaged.

It is the Buyer’s responsibility to provide accurate delivery details, and we will not be held liable for any issues arising from incorrect or incomplete address information. If the delivery address needs to be changed after the order has been placed, please contact us as soon as possible, and additional charges may apply.

Upon delivery, buyer’s should inspect the products for any damage or discrepancies and notify us within 2 days of receiving the delivery if any issues arise.

Returns Policy

In the unlikely event of receiving a faulty, damaged or incorrect item, you must advise us within 14 days of receipt and we will immediately issue a credit or a replacement at our discretion.

If your products are not as you expected on receipt of delivery, you may return them in perfect resalable condition and complete packaging within 14 days for a full credit excluding carriage. This applies only within the UK mainland.

This returns policy does not affect your statutory rights.

All product returns are at your own expense. In all cases it is your responsibility to pack them in order that they reach us in the same condition as you received them. Special mix colours

Unless faulty, custom paint colours can not be returned to the Seller, or the buyer receive a refund or exchange due to the products being made specially to order.

At our discretion no credit will be issued or a repacking charge levied against future credit should there be a failure to return goods in perfect resalable condition.

Return exceptions all open liquid based products cannot be returned. These include aerosols, hardeners, thinners, lacquers and primers.

Defective goods

On delivery please inspect your goods immediately and advise us within 24 hours of receipt if the goods are damaged. Our carriers do not accept responsibility for damaged goods beyond this 24 hour period.

Goods represented by the Buyer to be defective shall not form the subject of any claim for work done by the Buyer or for any loss, damage or expense whatsoever arising directly or indirectly from such defects, but such goods, if returned and accepted by us as defective, will at the request of the Buyer and if practicable be replaced as originally ordered. Defects in quality or dimensions in any delivery shall not be a ground for cancellation of the remainder of the order or contract.

Force Majeure

The Seller shall not be held responsible for any failure of performance to make timely delivery of all or any part of the Goods in the event such failure was due, in whole or in part, to federal, provincial or municipal action, statute, ordinance or regulation, strike or other labour trouble, fire or other damage to or destruction of, in whole or in part, the Goods or the manufacturing facility for the Goods, the lack of or inability to obtain raw materials, labour, fuel, electrical power, water or supplies, or any other cause, act of God, contingency or circumstances not subject to the reasonable control of the Seller, which causes delays or hinders the manufacture or delivery of Goods. The Seller shall determine in good faith the extent to which it can reasonably control a cause, contingency, or circumstance that affects the performance of its obligations.

Governing law

The contract between us shall be governed by and interpreted in accordance with English Law and the English courts shall have jurisdiction to resolve any disputes between us.

Limited Warranty

The Seller supplies as its sole warranty the following:

• Our products will only be replaced if they are received damaged.
• We do not offer a warranty period for our products.
• The warranties provided for herein shall be governed by the Seller’s warranty policies in effect on the date of shipment.

Disclaimer of Warranty/Limitation of Liability

Independent Paint and Coating Supplies Limited shall have no liability to the Buyer for:

• Any loss or damage to property or personal injury caused by the negligence of the Buyer, including but not limited to failure by the Buyer to use the Products in accordance with the Product Data Sheet, failure to wear appropriate protective clothing and/or failure to adequately ventilate the site being painted.
• Any information provided in respect of the Products by Independent Paint and Coatings Supplies that is inconsistent with the Product Data Sheet; and/or
• Any errors in coverage rates quoted or otherwise supplied. The Buyer agrees that coverage depends on the condition of the substrate, surface absorption, texture and application method.
• Any information provided in respect of products or equipment not sold to the Buyer by Independent Paint & Coatings Supplies.

• Any advice, recommendation or assistance as to the storage, application or use of the Products given by Independent Paint and Coatings Supplier or any of its employees or agents.

General notices

You, the buyer, may not assign this Agreement without our written consent. We are the sole intended beneficiary of this Agreement. If there is any inconsistency between this Agreement and any other agreement included with or relating to the Goods, this Agreement shall govern.

 This Agreement may not be modified, altered or amended without the written agreement of the Seller. Any additional or altered terms attached to any order submitted by Buyer shall be null and void, unless expressly agreed to in writing by the Seller.

If any term of this Agreement is illegal or unenforceable, the legality and enforceability of the remaining provisions shall not be affected or impaired. This Agreement shall be interpreted under the laws of the United Kingdom, without giving effect to conflicts-of-law rules; and in the event of a dispute under this Agreement;

Buyer submits to the exclusive jurisdiction and venue of the courts of the United Kingdom and hereby waives any objection to such jurisdiction and venue.
